These Marketplace Terms & Conditions (“Terms”) govern your use of the SALPHIE website and marketplace (the “Marketplace”) and purchases made through the Marketplace.
Please read these Terms carefully before using SALPHIE or placing an order.
By creating an account, using the Marketplace, placing an order, or completing a purchase through SALPHIE, you acknowledge that you have read, understood and agreed to these Terms.
DEFINITIONS
For purposes of these Terms:
“SALPHIE,” “we,” “us” or “our” means SALPHIE, the online marketplace operated by AP IMPEX SAS.
“AP IMPEX” means AP IMPEX SAS, a French société par actions simplifiée (SAS), with its registered office at:

“Customer,” “you” or “your” means any person who uses the Marketplace or purchases Products through SALPHIE.
“Seller” means an independent third-party business or individual that offers Products for sale through the Marketplace.
“Product” means any merchandise offered for sale by a Seller through the Marketplace.
“Product Page” means the page on the Marketplace containing information relating to a Product and, where applicable, the Seller.
“Order” means a request submitted by a Customer to purchase one or more Products through the Marketplace.
“Marketplace” means the online platform operated by SALPHIE through which Customers may discover and purchase Products offered by independent Sellers.
“Seller Account” means the account used by a Seller to manage its Products, orders and information on the Marketplace.
ABOUT THE SALPHIE MARKETPLACE
SALPHIE is an online marketplace that connects Customers with independent Sellers.
Products displayed on SALPHIE may be offered by independent Sellers and may be shipped directly by those Sellers or their fulfillment partners.
Unless expressly stated otherwise on the applicable Product Page, SALPHIE is not the owner of the Product and is not the Seller of the Product.
The Seller remains responsible for the Product offered for sale, including its description, condition, authenticity, availability, fulfillment, shipping and applicable legal requirements.
When you purchase a Product through the Marketplace, the sale of that Product is between you and the applicable Seller.
SALPHIE facilitates the transaction through its Marketplace and may provide payment processing, order coordination, customer service, return coordination and other marketplace services.
SELLER INFORMATION
The Seller's name may be displayed on the applicable Product Page.
Where available, Customers may also be provided with information concerning the Seller, including its business name, location, Seller profile and other relevant information.
The Seller is responsible for the accuracy of information it provides to SALPHIE.
SALPHIE may verify or review Seller information and may suspend or remove a Seller or Product where appropriate.
PRODUCT INFORMATION
Product descriptions, specifications, photographs, availability, condition, pricing and other Product information are generally provided by the Seller.
The Seller is responsible for ensuring that Product information is accurate and not misleading.
Because Products may include new, refurbished, used, liquidation, closeout or surplus merchandise, the condition of each Product will be identified on the applicable Product Page where relevant.
Customers should carefully review the Product Page, including condition, specifications, included accessories, warranty information and return conditions before placing an Order.
PRODUCT AUTHENTICITY
Sellers are required to offer only authentic and lawfully saleable Products.
Counterfeit, stolen, unauthorized or infringing Products are prohibited.
SALPHIE may request documentation from a Seller concerning the authenticity, ownership or lawful source of a Product.
If SALPHIE reasonably suspects that a Product may be counterfeit, stolen, infringing or otherwise unlawful, SALPHIE may remove or suspend the listing and may take other appropriate measures.
AVAILABILITY OF PRODUCTS
Products are offered subject to availability.
Because Products are generally held by Sellers rather than by SALPHIE, inventory information may change before an Order is accepted or fulfilled.
If a Product becomes unavailable after an Order has been placed, SALPHIE or the Seller may cancel the affected Order.
If an Order is cancelled because the Product is unavailable, the Customer will receive a refund of amounts paid for the cancelled Product in accordance with the applicable payment and refund procedures.
PRICES
Product prices are displayed in U.S. dollars unless otherwise stated.
Prices may change at any time before an Order is completed.
The price applicable to an Order is the price displayed at the time the Customer completes the purchase, subject to correction of obvious pricing errors.
Shipping charges, applicable taxes and other applicable charges may be added during checkout.
SALES TAX
Applicable sales and use taxes may be calculated during checkout based on the Customer's shipping address, the Product and applicable law.
In jurisdictions where SALPHIE is required to act as a marketplace facilitator, SALPHIE may calculate, collect and remit applicable sales or use taxes on marketplace transactions.
In other circumstances, tax obligations may remain with the Seller or may be determined according to applicable law.
Taxes collected on behalf of governmental authorities are not part of SALPHIE's commission.
Sellers are responsible for providing accurate information required for tax determination and for satisfying any tax obligations that remain applicable to them.
HOW TO PLACE AN ORDER

To place an Order, the Customer may:

Select a Product;
-
Review the Product Page and Seller information;
-
Add the Product to the shopping cart;
-
Review the Order details;
-
Enter or confirm the shipping address;
-
Select an available shipping method;
-
Review the total price, including applicable taxes and shipping charges;
-
Select a payment method;
-
Accept these Terms; and
-
Submit the Order.

Before submitting the Order, the Customer will have the opportunity to review the Order details and correct errors.
ORDER CONFIRMATION
After an Order is submitted, SALPHIE may send the Customer an Order confirmation by email.
An Order confirmation acknowledges receipt of the Order but does not necessarily mean that the Seller has accepted or fulfilled the Order.
Where Seller acceptance is required, the Order becomes accepted when the Seller accepts the Order or when the transaction otherwise becomes confirmed under SALPHIE's applicable ordering process.
SALPHIE may cancel an Order where reasonably necessary, including where:

the Product is unavailable;
-
the Product information contains a material error;
-
the price was incorrectly displayed;
-
payment cannot be authorized;
-
fraud or unauthorized activity is suspected;
-
the Seller cannot fulfill the Order; or
-
required by law.
If an Order is cancelled after payment has been collected, SALPHIE will coordinate the applicable refund.
PAYMENT
SALPHIE may process or facilitate payment through third-party payment service providers.
The Customer may be charged the full amount of the Order, including:
-
Product price;
-
shipping charges;
-
applicable sales taxes; and
-
other applicable charges disclosed at checkout.
SALPHIE may collect payment on behalf of the applicable Seller.
The collection of payment by SALPHIE does not, by itself, mean that SALPHIE owns the Product or is the Seller of the Product.
SELLER PAYMENT AND SALPHIE COMMISSION
Under the commercial agreement between SALPHIE and each Seller, SALPHIE may deduct its agreed commission and other permitted amounts from funds collected from Customers.
After applicable adjustments, SALPHIE will settle the amount due to the Seller according to the Seller's applicable payment terms.
For example, if a Customer pays $1,000 for a Product and the Seller's agreed SALPHIE commission is $150, the Seller may receive $850, subject to applicable taxes, refunds, chargebacks, shipping arrangements and other permitted adjustments.
DELIVERY OF PRODUCTS
Products are shipped and delivered by Sellers or their authorized fulfillment partners.
The Seller is responsible for:

preparing the Product for shipment;
-
properly packaging the Product;
-
dispatching the Product;
-
providing accurate tracking information where available;
-
meeting the stated handling time;
-
complying with applicable shipping requirements.
Shipping times and delivery estimates may vary according to the Seller, Product, destination and carrier.
Estimated delivery dates are not guaranteed unless expressly stated otherwise.
MULTIPLE SELLERS
Customers may purchase Products from different Sellers in the same shopping session or Order.
Products offered by different Sellers may be shipped separately.
Separate tracking numbers may be provided.
Separate shipping charges may apply depending on the Products and Sellers involved.
Each Product purchased through the Marketplace is subject to the applicable Seller's transaction and fulfillment obligations.
SHIPPING DELAYS, LOST OR DAMAGED PACKAGES
If a shipment is delayed, lost or damaged, the Customer should contact SALPHIE through the customer service process.
SALPHIE may coordinate with the Seller and the applicable carrier to investigate the issue.
The Seller remains responsible for properly preparing and dispatching its Products.
Where appropriate, SALPHIE may facilitate a replacement, refund or other resolution in accordance with the applicable policies and applicable law.
RETURNS
Returns are governed by SALPHIE's Return & Refund Policy, together with any Product-specific return conditions displayed before purchase.
Customers must contact SALPHIE before returning a Product unless otherwise instructed.
Approved returns may be sent directly to the applicable Seller or to a return facility designated by the Seller.
The return address may therefore differ from SALPHIE's registered office.
REFUNDS
SALPHIE may coordinate or process refunds on behalf of the Seller.
Where an approved refund is due, the refund will generally be made to the original payment method.
Refund timing may depend on the payment provider and the Customer's financial institution.
Where a refund results from a Seller-related issue, SALPHIE may recover the applicable amount from the Seller in accordance with the Seller agreement.
Please refer to the SALPHIE Return & Refund Policy for additional information.
DEFECTIVE, DAMAGED OR INCORRECT PRODUCTS
If a Customer receives a Product that is:
-
defective;
-
damaged;
-
materially different from the Product description;
-
incorrect; or
-
otherwise not as ordered,
the Customer should contact SALPHIE promptly.
SALPHIE may coordinate with the Seller to determine an appropriate resolution, which may include:
-
replacement;
-
repair;
-
return;
-
refund; or
-
another remedy required by applicable law.
The Seller remains responsible for the Product it sells, subject to applicable law.
WARRANTIES
Some Products may be covered by a manufacturer's warranty or a Seller-provided commercial warranty.
Where a warranty applies, the applicable warranty information may be displayed on the Product Page or provided with the Product.
Customers should review the applicable warranty terms before purchasing.
The Seller is responsible for warranties that it provides or is legally required to provide.
Nothing in these Terms limits any warranty or consumer right that cannot legally be excluded or limited.
CUSTOMER COMPLAINTS
For questions or complaints concerning a Product, Customers may contact SALPHIE through the customer service channels provided on the Marketplace.
SALPHIE may communicate with the Seller and coordinate the resolution of the complaint.
Depending on the nature of the complaint, the Seller may be required to provide the applicable remedy.
SALPHIE may intervene to facilitate communication and resolution between the Customer and Seller.
ILLEGAL OR PROHIBITED CONTENT
SALPHIE does not permit Sellers to list Products or content that violate applicable law or SALPHIE policies.
Customers may report suspected illegal Products, counterfeit Products, misleading listings or other prohibited content through the reporting mechanism made available by SALPHIE.
SALPHIE may investigate reports and may remove or restrict content where appropriate.
CUSTOMER ACCOUNTS
Certain Marketplace features may require the Customer to create an account.
Customers must provide accurate information and keep their account information up to date.
Customers are responsible for maintaining the confidentiality of their account credentials.
Customers are responsible for activity conducted through their accounts unless the activity resulted from unauthorized access not caused by the Customer.
SALPHIE may suspend or terminate accounts involved in fraud, abuse, unauthorized transactions or violations of these Terms.
USE OF THE MARKETPLACE
Customers agree not to:
-
use SALPHIE for unlawful purposes;
-
interfere with the operation of the Marketplace;
-
attempt to gain unauthorized access to systems or accounts;
-
use automated systems to collect information without authorization;
-
submit fraudulent orders;
-
misuse payment methods;
-
provide false information;
-
infringe the rights of SALPHIE, Sellers or third parties;
-
circumvent security or technical measures.
SALPHIE may take appropriate action against users who violate these requirements.
INTELLECTUAL PROPERTY
The SALPHIE website and Marketplace, including their software, design, logos, trademarks, text, graphics, photographs, interfaces and other original content, are owned by or licensed to AP IMPEX or its applicable licensors.
Except as permitted by law, Customers may not reproduce, modify, distribute, sell, publicly display or otherwise exploit SALPHIE content without prior written authorization.
Product names, trademarks, logos and images belonging to Sellers or manufacturers remain the property of their respective owners.
SELLER CONTENT
Sellers may provide photographs, descriptions, trademarks and other content for use on the Marketplace.
The Seller grants SALPHIE a non-exclusive, worldwide, royalty-free license to use, reproduce, display, adapt and distribute such content as reasonably necessary to operate, market and promote the Marketplace and the Seller's Products.
The Seller represents that it has the necessary rights to provide such content to SALPHIE.
PRIVACY
Personal information collected through the Marketplace is handled in accordance with the SALPHIE Privacy Policy.
Information necessary to fulfill an Order may be shared with the applicable Seller, payment providers, shipping providers and other service providers involved in completing the transaction.
Sellers may only use Customer information for legitimate purposes related to the transaction and must comply with applicable privacy and data protection requirements.
THIRD-PARTY SERVICES
SALPHIE may use third-party service providers for:

payment processing;
-
fraud prevention;
-
shipping;
-
customer service;
-
analytics;
-
hosting;
-
communications;
-
authentication; and
-
other services necessary to operate the Marketplace.
Third-party services may be subject to their own terms and privacy policies.
MARKETPLACE AVAILABILITY
SALPHIE will use reasonable efforts to maintain the availability of the Marketplace.
However, SALPHIE does not guarantee that the Marketplace will always be available, uninterrupted, secure or error-free.
SALPHIE may temporarily suspend or modify the Marketplace for maintenance, security, technical improvements or other operational reasons.
SALPHIE'S ROLE AND LIABILITY
SALPHIE operates the Marketplace and facilitates transactions between Customers and independent Sellers.
Unless expressly stated otherwise, SALPHIE does not manufacture, own, warehouse or physically possess the Products offered by Sellers.
The Seller remains responsible for its Products, Product descriptions, inventory, fulfillment, shipping, returns and other Seller obligations.
To the maximum extent permitted by applicable law, SALPHIE shall not be responsible for losses arising solely from a Seller's failure to fulfill its obligations.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
PRODUCT SAFETY AND RECALLS
Sellers are responsible for complying with applicable product safety requirements.
A Seller must promptly notify SALPHIE of any recall, safety issue, regulatory action or other matter affecting a Product previously offered or sold through the Marketplace.
SALPHIE may remove affected Products and notify Customers where reasonably necessary.
FRAUD AND PAYMENT DISPUTES
SALPHIE may investigate transactions suspected of fraud, unauthorized activity or abuse.
SALPHIE may cancel Orders, suspend accounts, delay settlements or take other reasonable measures to protect Customers, Sellers, SALPHIE and payment providers.
If a Customer disputes a transaction or initiates a chargeback, SALPHIE may provide relevant transaction information to the applicable payment provider.
ELECTRONIC RECORDS
Electronic records maintained by SALPHIE, its payment providers and other service providers may constitute evidence of communications, Orders, payments and transactions, subject to applicable law.
Customers agree that electronic communications may be used for transaction records and notices.
CHANGES TO THESE TERMS
SALPHIE may modify these Terms from time to time.
The updated Terms will be posted on the Marketplace with a revised “Last Updated” date.
The Terms applicable to a purchase are generally those in effect when the Order is placed, except where changes are required by law or apply to ongoing use of the Marketplace.
Continued use of SALPHIE after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
SEVERABILITY
If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision shall be enforced to the maximum extent permitted by law and the remaining provisions shall remain in full force and effect.
NO WAIVER
SALPHIE's failure to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision in the future.
ENTIRE AGREEMENT
These Terms, together with the SALPHIE Privacy Policy, Shipping Policy, Return & Refund Policy and any other policies expressly incorporated into these Terms, constitute the terms governing the Customer's use of the Marketplace and purchases made through SALPHIE.
GOVERNING LAW AND CONSUMER RIGHTS
These Terms shall be interpreted and applied in accordance with applicable law.
Because SALPHIE serves Customers in multiple jurisdictions, certain consumer protection laws may apply depending on the Customer's location and the transaction.
Nothing in these Terms is intended to waive or restrict any consumer right or legal protection that cannot legally be waived or restricted.
